All Above Board? Recent Developments in Corporate Governance and The Impact on Non-Executive Directors
Directors, and in particular independent non-executive directors, of companies listed on the Hong Kong Stock Exchange are facing an increased regulatory burden, with the Hong Kong Stock Exchange's recent changes to the rules on corporate governance and the Securities and Futures (Amendment) Bill being just two examples. The role of independent non-executives as guardians of good corporate governance is gaining emphasis, not only within the wording of the regulations themselves but also in the enforcement of those regulations. Never before has it been more important for non-executive directors to be fully aware of their duties and to follow best practice in discharge of those duties. In this seminar, Jeremy Hunt and Simon Clarke of Allen & Overy run through some of the more important changes, focussing on the impact on directors, especially INEDs, and outline some best practice tips for directors to follow to minimise personal liability. Mark Steward, Executive Director of the Enforcement Division of the Securities and Futures Commission, spoke about corporate governance from the enforcement perspective.
